Purpose<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">These Terms and Conditions govern the provision of professional services by APROS related to the design, development, implementation, administration, optimization, maintenance, and consulting regarding its clients\u2019 digital assets.<\/p>\n\n<p class=\"wp-block-paragraph\">These terms apply to all contracted services, unless there is a specific contract that sets forth special conditions.<\/p>\n\n<h2 id=\"h-2-servicios-comprendidos\" class=\"wp-block-heading\"><strong>2. Services Included<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">These terms apply, among others, to the following services:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Website and application development.<\/li>\n\n\n\n<li>E-commerce.<\/li>\n\n\n\n<li>Landing pages.<\/li>\n\n\n\n<li>Maintenance and Support.<\/li>\n\n\n\n<li>Web Hosting and Domains.<\/li>\n\n\n\n<li>SEO Optimization.<\/li>\n\n\n\n<li>CRO Optimization.<\/li>\n\n\n\n<li>Performance Optimization.<\/li>\n\n\n\n<li>Digital analytics.<\/li>\n\n\n\n<li>Automation and integrations.<\/li>\n\n\n\n<li>Technology consulting.<\/li>\n\n\n\n<li>UX\/UI Services.<\/li>\n\n\n\n<li>Migration.<\/li>\n\n\n\n<li>Hour package.<\/li>\n\n\n\n<li>Digital services that APROS will incorporate in the future.<\/li>\n<\/ul>\n\n<h2 id=\"h-3-alcance-del-servicio\" class=\"wp-block-heading\"><strong>3. Scope of Service<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">The specific scope will be as defined in the commercial proposal, contract, service order, or quote approved by the client.<\/p>\n\n<p class=\"wp-block-paragraph\">Any additional request will be considered an expansion of the scope and may result in adjustments to the timeline, resources, and budget.<\/p>\n\n<h2 id=\"h-4-responsabilidades-del-cliente\" class=\"wp-block-heading\"><strong>4. Customer Responsibilities<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">The customer agrees to:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Provide access, credentials, and necessary information in a timely manner.<\/li>\n\n\n\n<li>Appoint a person responsible for approving deliverables.<\/li>\n\n\n\n<li>Review comments within the agreed-upon timeframes.<\/li>\n\n\n\n<li>Hold the rights to use the content provided.<\/li>\n\n\n\n<li>Please communicate any additional requirements in a timely manner.<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\">A delay in fulfilling any of these obligations could affect the project schedule.<\/p>\n\n<h2 id=\"h-5-aprobaciones\" class=\"wp-block-heading\"><strong>5. Approvals<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">If the client does not provide any comments within the deadline set by APROS, the deliverables may be considered approved, and we may proceed to the next stage of the service.<\/p>\n\n<h2 id=\"h-6-propiedad-intelectual\" class=\"wp-block-heading\"><strong>6. Intellectual Property<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Economic rights to the deliverables developed for the client will be transferred once the contracted service has been paid in full.<\/p>\n\n<p class=\"wp-block-paragraph\">APROS retains ownership of its methodologies, tools, reusable components, internal processes, frameworks, and previously developed knowledge.<\/p>\n\n<h2 id=\"h-7-garantias\" class=\"wp-block-heading\"><strong>7. Warranties<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">APROS guarantees that the services will be performed in accordance with professional best practices.<\/p>\n\n<p class=\"wp-block-paragraph\">The warranties apply only to errors attributable to the work performed by APROS and within the scope of the contract.<\/p>\n\n<p class=\"wp-block-paragraph\">The following are not covered:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Changes made by third parties.<\/li>\n\n\n\n<li>Customer modifications.<\/li>\n\n\n\n<li>Changes to external platforms.<\/li>\n\n\n\n<li>Cyberattacks.<\/li>\n\n\n\n<li>Failures by external vendors.<\/li>\n\n\n\n<li>New requirements.<\/li>\n<\/ul>\n\n<h2 id=\"h-8-servicios-de-terceros\" class=\"wp-block-heading\"><strong>8. Third-Party Services<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Many digital services rely on external platforms such as hosting providers, domain registrars, cloud services, search engines, APIs, social media, and analytics tools.<\/p>\n\n<p class=\"wp-block-paragraph\">APROS is not responsible for any interruptions, changes, limitations, or decisions made by those providers.<\/p>\n\n<h2 id=\"h-9-uso-de-inteligencia-artificial\" class=\"wp-block-heading\"><strong>9. Use of Artificial Intelligence<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">APROS may use artificial intelligence tools to support analysis, development, documentation, testing, automation, and optimization processes.<\/p>\n\n<p class=\"wp-block-paragraph\">All deliverables will be reviewed and validated by professionals before delivery.<\/p>\n\n<h2 id=\"h-10-confidencialidad\" class=\"wp-block-heading\"><strong>10. Confidentiality<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Any technical, commercial, strategic, or business information provided by the client will be treated as confidential and used solely for the purpose of providing the service.<\/p>\n\n<h2 id=\"h-11-proteccion-de-datos\" class=\"wp-block-heading\"><strong>11. Data Protection<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Each party will be responsible for processing the personal data under its control, in accordance with applicable law.<\/p>\n\n<h2 id=\"h-12-pagos\" class=\"wp-block-heading\"><strong>12. Payments<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">The economic terms, payment method, and billing schedule will be as set forth in the approved commercial proposal.<\/p>\n\n<p class=\"wp-block-paragraph\">Failure to make payments may result in the temporary suspension of services until the matter is resolved.<\/p>\n\n<h2 id=\"h-13-suspension-del-servicio\" class=\"wp-block-heading\"><strong>13. Suspension of Service<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">APROS may temporarily suspend services when any of the following conditions exist:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Payment defaults.<\/li>\n\n\n\n<li>Prolonged lack of response from the customer.<\/li>\n\n\n\n<li>Lack of essential information.<\/li>\n\n\n\n<li>Misuse of services.<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\">Reactivation may require rescheduling depending on equipment availability.<\/p>\n\n<h2 id=\"h-14-limitacion-de-responsabilidad\" class=\"wp-block-heading\"><strong>14. Limitation of Liability<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">APROS&#8217;s liability is limited to the amount actually paid for the corresponding service.<\/p>\n\n<p class=\"wp-block-paragraph\">Under no circumstances will APROS be liable for lost profits, loss of revenue, loss of business opportunities, loss of data, or consequential damages arising from the use of digital assets.<\/p>\n\n<h2 id=\"h-15-modificaciones\" class=\"wp-block-heading\"><strong>15. Amendments<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">APROS may update these terms when necessary to improve its processes or to adapt to legal or technological changes.<\/p>\n\n<h2 id=\"h-16-legislacion-aplicable\" class=\"wp-block-heading\"><strong>16. Applicable Law<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">These terms are governed by the laws of the Republic of Peru.<\/p>\n\n<p class=\"wp-block-paragraph\">The parties shall endeavor to resolve any dispute through direct negotiation before resorting to the appropriate legal channels.<\/p>\n\n<h2 id=\"h-17-aceptacion\" class=\"wp-block-heading\"><strong>17. Acceptance<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Acceptance of a quote, commercial proposal, service order, contract, advance payment, or commencement of service provision constitutes full acceptance of these Terms and Conditions.<\/p>\n\n<p class=\"wp-block-paragraph\"><strong>18.Change<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">  Any change requested by the client is presumed to be a scope change, unless the Project Manager determines that it is a permitted change because it does not affect the project\u2019s scope, cost, timeline, resources, or deliverables.  <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>19. Hour Bank<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Time set aside within the project to address permitted changes and minor adjustments requested by the client during execution. Unless otherwise specified in the proposal, the time allowance corresponds to <strong>5% of the total estimated project effort<\/strong>. Its use will be managed by the Project Manager, and once it is exhausted, any additional requests will be evaluated as a scope change or quoted as additional hours.  <\/p>\n","protected":false},"excerpt":{"rendered":"<p>Last updated: July 2026 1.
