These Terms and Conditions govern the provision of professional services by APROS related to the design, development, implementation, administration, optimization, maintenance, and consulting regarding its clients’ digital assets.
These terms apply to all contracted services, unless there is a specific contract that sets forth special conditions.
These terms apply, among others, to the following services:
The specific scope will be as defined in the commercial proposal, contract, service order, or quote approved by the client.
Any additional request will be considered an expansion of the scope and may result in adjustments to the timeline, resources, and budget.
The customer agrees to:
A delay in fulfilling any of these obligations could affect the project schedule.
If the client does not provide any comments within the deadline set by APROS, the deliverables may be considered approved, and we may proceed to the next stage of the service.
Economic rights to the deliverables developed for the client will be transferred once the contracted service has been paid in full.
APROS retains ownership of its methodologies, tools, reusable components, internal processes, frameworks, and previously developed knowledge.
APROS guarantees that the services will be performed in accordance with professional best practices.
The warranties apply only to errors attributable to the work performed by APROS and within the scope of the contract.
The following are not covered:
Many digital services rely on external platforms such as hosting providers, domain registrars, cloud services, search engines, APIs, social media, and analytics tools.
APROS is not responsible for any interruptions, changes, limitations, or decisions made by those providers.
APROS may use artificial intelligence tools to support analysis, development, documentation, testing, automation, and optimization processes.
All deliverables will be reviewed and validated by professionals before delivery.
Any technical, commercial, strategic, or business information provided by the client will be treated as confidential and used solely for the purpose of providing the service.
Each party will be responsible for processing the personal data under its control, in accordance with applicable law.
The economic terms, payment method, and billing schedule will be as set forth in the approved commercial proposal.
Failure to make payments may result in the temporary suspension of services until the matter is resolved.
APROS may temporarily suspend services when any of the following conditions exist:
Reactivation may require rescheduling depending on equipment availability.
APROS’s liability is limited to the amount actually paid for the corresponding service.
Under no circumstances will APROS be liable for lost profits, loss of revenue, loss of business opportunities, loss of data, or consequential damages arising from the use of digital assets.
APROS may update these terms when necessary to improve its processes or to adapt to legal or technological changes.
These terms are governed by the laws of the Republic of Peru.
The parties shall endeavor to resolve any dispute through direct negotiation before resorting to the appropriate legal channels.
Acceptance of a quote, commercial proposal, service order, contract, advance payment, or commencement of service provision constitutes full acceptance of these Terms and Conditions.
18.Change
Any change requested by the client is presumed to be a scope change, unless the Project Manager determines that it is a permitted change because it does not affect the project’s scope, cost, timeline, resources, or deliverables.
19. Hour Bank
Time set aside within the project to address permitted changes and minor adjustments requested by the client during execution. Unless otherwise specified in the proposal, the time allowance corresponds to 5% of the total estimated project effort. Its use will be managed by the Project Manager, and once it is exhausted, any additional requests will be evaluated as a scope change or quoted as additional hours.
